Terms & Conditions

These Terms & Conditions govern access to and use of Ordavya websites, restaurant websites, mobile applications, administration tools, ordering technology, integrations, hosting and related services. A quotation, order form, subscription, implementation agreement or other written arrangement may contain additional commercial terms and will apply together with these Terms.

1. Acceptance of these Terms

By purchasing, accessing, configuring or using an Ordavya service, the restaurant, business, account owner or authorized representative agrees to these Terms and any written service arrangement applicable to the account.

If you use Ordavya on behalf of a company, restaurant or other organization, you confirm that you have authority to accept these Terms on its behalf.

2. Scope of Ordavya services

Ordavya may provide restaurant websites, branded customer applications, ordering experiences, administration dashboards, push notifications, digital menus, integrations, hosting, configuration, design, deployment, maintenance and related technical services.

The exact features, limits, implementation work, integrations, support level and commercial terms for a particular customer are determined by the applicable quotation, plan, order form or other written agreement.

Features may change, improve, be replaced or be discontinued where reasonably necessary for technical, security, legal or operational reasons.

3. Restaurant responsibilities

The restaurant remains responsible for its commercial operations and for the accuracy and legality of information made available through its Ordavya-powered services.

  • Menus, products, descriptions, ingredients, allergens and nutritional information.
  • Prices, taxes, discounts, service charges and delivery charges.
  • Product availability and stock status.
  • Restaurant opening hours, branches and delivery areas.
  • Order acceptance, preparation, fulfillment, cancellation and customer support.
  • Compliance with food, consumer-protection, advertising, tax and other laws applicable to the restaurant.
  • Rights to use all logos, photos, trademarks, product images and other content supplied to Ordavya.

4. Orders and customer transactions

Ordavya provides technology that may allow customers to browse restaurant content, submit orders, select delivery or pickup options and interact with the restaurant.

Unless expressly agreed otherwise in writing, the restaurant is the seller or service provider in the transaction with its customer. The restaurant is responsible for fulfilling orders, handling customer complaints, resolving order disputes and complying with applicable consumer obligations.

Ordavya is not responsible for food quality, preparation, delivery performance, product availability or other restaurant operational decisions.

5. Third-party services and additional costs

Ordavya services may depend on third-party platforms, APIs, infrastructure and accounts. Unless a written quotation expressly states that a third-party charge is included, third-party fees are separate from Ordavya subscription, development or implementation fees.

  • Google Maps Platform, Maps APIs, Places APIs, geocoding or location-related services.
  • Firebase, Google Cloud or other hosting, storage, database, bandwidth, serverless or infrastructure services.
  • Apple Developer Program, App Store Connect and other Apple publishing services.
  • Google Play Console, Google Play developer registration and other Google app-publishing services.
  • Domain registration, renewal, DNS, email and certificate-related services.
  • Payment gateways, acquiring banks, card processors and transaction fees.
  • SMS, WhatsApp, email, push-notification or other communications providers.
  • Third-party analytics, monitoring, customer-support or marketing platforms.
  • Any other external API, software subscription or cloud service requested or required for the implementation.

Important

Third-party providers can change their prices, free allowances, quotas, policies or availability independently of Ordavya. Ordavya does not control those changes.

6. Firebase, cloud hosting and usage charges

Some Ordavya implementations may use Firebase, Google Cloud or another hosting provider. Free plans and free usage allowances are subject to limits imposed by the relevant provider.

If traffic, database operations, storage, bandwidth, server usage, functions, image delivery or another resource exceeds a free allowance, the provider may charge additional usage fees.

Unless expressly included in a written Ordavya plan or quotation, cloud usage above included or free allowances is the restaurant's responsibility.

Ordavya may inform the restaurant when unusual usage is observed, but Ordavya does not guarantee that it will detect or notify the restaurant before a third-party provider applies a charge.

Important

A service being free at the time of setup does not guarantee that it will remain free if usage increases or the provider changes its pricing.

7. Google Maps and location services

Ordavya may use Google Maps Platform or other mapping services for branch locations, customer addresses, geocoding, delivery areas or related functions.

Use of these functions may require a valid third-party account, API credentials and billing configuration. Usage beyond a provider's free allowance may generate charges.

The restaurant is responsible for ensuring that addresses, delivery zones and location information configured for its business are accurate.

Map results, estimated locations and geocoding results are provided by third parties and may not always be exact.

8. Apple App Store and Google Play publishing

Where Ordavya prepares or assists with a branded mobile application, publication may depend on Apple, Google or another app-store operator.

The restaurant may be required to maintain its own developer account, accept platform agreements, provide identity or business verification and pay registration or renewal fees.

App-store review, approval, rejection, suspension and publication timing are controlled by the relevant app-store operator, not by Ordavya.

Ordavya may assist with reasonable changes requested by an app store, but material redesign, new functionality or repeated work outside the agreed scope may require additional fees.

Important

Ordavya cannot guarantee that Apple, Google or another platform will approve an application or approve it within a particular timeframe.

9. Domains and external accounts

A restaurant may use a domain, developer account, Firebase project, payment account, messaging account or other third-party account in connection with the service.

Unless otherwise agreed in writing, registration, renewal and provider charges for those accounts remain the restaurant's responsibility.

The restaurant is responsible for maintaining access to accounts registered in its name and keeping billing and recovery information current.

10. Payment gateways

Where payment functionality is enabled, payments may be processed by an independent payment gateway, bank or payment-service provider.

Ordavya does not hold card details unless explicitly stated for a particular service and does not control a payment provider's approval decisions, settlement timing, transaction fees, chargebacks, reserves or account restrictions.

The restaurant is responsible for maintaining its merchant account and complying with the payment provider's requirements.

11. Fees, subscriptions and billing

Ordavya fees may include subscription fees, implementation charges, customization fees, design fees, development fees, support fees or other amounts described in a quotation or agreement.

Recurring services may continue until cancelled in accordance with the applicable service arrangement.

Taxes, government charges and third-party costs are excluded unless expressly stated otherwise.

Failure to pay amounts when due may result in suspension or limitation of paid services after reasonable notice where permitted by law.

12. Changes outside the agreed scope

Ordavya may provide an agreed implementation or set of features within a defined project scope.

Requests for new pages, new integrations, substantial redesigns, custom functionality, migration work, additional applications, major data imports or other work outside that scope may require a separate quotation.

Ordavya will not treat substantial additional work as automatically included merely because it relates to an existing service.

13. Account security

Customers must protect account credentials and restrict administrative access to authorized users.

The customer should notify Ordavya promptly if unauthorized access, credential theft or another security incident is suspected.

Ordavya may temporarily restrict access where reasonably necessary to protect accounts, systems, customers or other users.

14. Service availability and maintenance

Ordavya aims to provide reliable services but does not guarantee uninterrupted or error-free operation.

Availability may be affected by maintenance, updates, internet failures, app-store systems, third-party APIs, cloud providers, payment processors, telecommunications networks or events outside Ordavya's reasonable control.

Scheduled or emergency maintenance may temporarily affect access to some features.

15. Backups and data

Ordavya may use platform and infrastructure safeguards appropriate to the configured service, but no online system can guarantee permanent or lossless storage.

Restaurants should retain copies of critical business records where commercially appropriate.

Data export, migration or restoration work beyond standard service functionality may require additional technical work or fees.

16. Intellectual property

Ordavya software, source code, reusable components, platform architecture, interfaces, designs, documentation and proprietary technology remain protected by applicable intellectual-property rights unless expressly transferred in writing.

The restaurant retains rights in its own brand, logo, menu information, photographs and other content that it supplies.

The restaurant grants Ordavya the permissions reasonably necessary to host, process, reproduce and display supplied materials for the purpose of providing the service.

17. Acceptable use

Ordavya services must not be used unlawfully or in a manner that harms the platform, other users or third parties.

  • Attempting unauthorized access to systems or accounts.
  • Uploading malware or malicious code.
  • Using the service for fraudulent or unlawful activity.
  • Infringing intellectual-property or privacy rights.
  • Abusing APIs, infrastructure or usage limits.
  • Interfering with service availability or security.

18. Third-party services

Links, APIs, integrations and services provided by third parties are governed by their own terms, privacy policies and technical requirements.

Ordavya is not responsible for a third party's outage, policy change, pricing change, security incident, suspension or discontinuation.

Ordavya may replace or modify an integration where reasonably necessary because a provider changes or discontinues a service.

19. Suspension and termination

Services may be suspended or terminated in accordance with the applicable subscription, quotation or service agreement.

Ordavya may suspend access where reasonably necessary because of non-payment, unlawful use, material security risk, abuse of infrastructure or material breach of an applicable agreement.

Termination does not automatically cancel third-party subscriptions, developer accounts, domains or infrastructure charges maintained directly by the restaurant.

20. Disclaimer and limitation

To the maximum extent permitted by applicable law, Ordavya does not guarantee that every service will be uninterrupted, error-free, compatible with every device or immune from failures caused by external providers.

Ordavya is not responsible for indirect losses resulting from restaurant operational decisions, third-party outages, inaccurate restaurant content, rejected app-store submissions, failed payment providers or external API limitations except where liability cannot legally be excluded.

Any specific liability limits agreed with a restaurant may also be stated in the applicable written service agreement.

21. Mandatory legal rights

Nothing in these Terms excludes rights, remedies or protections that cannot lawfully be excluded under applicable law.

If a mandatory legal requirement conflicts with part of these Terms, that mandatory requirement will apply to the extent required.

22. Governing terms and disputes

The governing law, jurisdiction, dispute process and any business-specific legal terms may be specified in the applicable contract, quotation or service agreement.

Where no separate written provision exists, the parties should first attempt to resolve any dispute in good faith through direct communication.

23. Changes to these Terms

Ordavya may update these Terms as its services, third-party integrations, business practices or legal requirements evolve.

The latest published version will apply from its stated effective date, subject to any separate contractual terms already agreed with a customer.
